Subscription Terms

These Subscription Terms apply when you purchase, renew, or use a paid plan or paid feature offered by Genetr Limited (“Genetr”, “the Company”, “we”, “us”). These Subscription Terms supplement our Terms of Use and form part of your agreement with us.
By subscribing to or purchasing a service, you agree to be bound by these Subscription Terms. If you do not agree, do not subscribe or purchase.
1. Scope and Relationship to Other Terms
These Subscription Terms apply to services delivered by Genetr under recurring commercial models, including but not limited to:
- Software subscriptions (SaaS or hosted services)
- Software licensing (per-seat, per-usage, or enterprise licensing)
- Usage-based service arrangements
- Managed services and retainer engagements
- Support and maintenance plans
Where a separate written agreement (such as a Master Services Agreement, Statement of Work, or Order Form) exists between you and Genetr, that agreement will take precedence over these Subscription Terms to the extent of any conflict.
If there is a conflict, the order of precedence is:
- Order Form / SOW (if any)
- Product-specific subscription terms (if any)
- These Subscription Terms
- Terms of Use
2. Account Registration
Certain services may require you to create an account. When creating an account, you agree to:
- provide accurate, current, and complete information;
- keep your account credentials secure and confidential;
- notify us promptly at contact@genetr.com if you suspect unauthorised access to your account;
- accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe have been compromised.
3. Subscription Plans and Pricing
- Plan details — the features, usage limits, and pricing of each subscription plan will be described on the relevant product page, at checkout, in your account, or in an Order Form/SOW.
- Pricing models — we may offer recurring subscriptions (monthly, annual, or other billing periods), usage-based fees (e.g., per seat, per transaction, per request, per GB, or other metered usage), licensing fees (e.g., per device, per user, per site), project-based fees, or managed services fees.
- Pricing changes — we may change pricing with at least 30 days’ prior notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel before the new pricing takes effect.
- Taxes — prices are exclusive of applicable taxes, levies, or duties unless stated otherwise. You are responsible for any taxes imposed by your jurisdiction, except those based on our income.
4. Billing and Payment
- Payment method — payments are processed through our third-party payment provider (currently Stripe). By providing payment information, you authorise us (and our payment provider) to charge the applicable fees to your designated payment method for recurring fees, usage-based fees (including overages), applicable taxes, and any other charges you authorise.
- Billing cycle — subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). The billing cycle begins on the date of your initial purchase.
- Failed payments — if a payment fails, we will attempt to collect the payment again and may notify you. If payment remains outstanding for more than 14 days, we may suspend your access until the balance is resolved.
- Invoices — invoices and payment receipts will be made available through your account or sent to your registered email address.
You agree to keep your billing information current.
5. Free Trials, Promotions, and Credits
- Where we offer a free trial or promotional period, it will be described at the time of sign-up, including the duration and any limitations.
- Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the published rate.
- We reserve the right to limit free trials to one per customer or organisation.
- Credits (if offered) have no cash value, are non-transferable, and may expire.
6. Subscription Term and Renewal
- Auto-renewal — unless stated otherwise, subscriptions renew automatically at the end of each billing cycle until cancelled.
- Renewal notice — where required by applicable law, we will send a reminder before automatic renewal.
- No obligation — you are not obligated to renew. Cancellation instructions are provided in Section 9 below.
7. Usage Limits, Metering, and Overage Charges
Some plans include usage limits (e.g., seats, API calls, storage, generations, automations, or other metered units).
- Usage may be measured and billed according to the plan rules shown at purchase or in an Order Form/SOW.
- If you exceed included usage, we may charge overage fees, require you to upgrade, throttle usage, or suspend access (depending on plan terms and system protection needs).
8. Changes to Fees and Plans
We may change fees, plan structure, or included features:
- for renewals (effective at the next renewal), or
- immediately for usage-based components (if disclosed).
When practicable, we will provide notice through the product, email, or account notifications. Material changes will be communicated to active subscribers with at least 30 days’ notice.
9. Cancellation
- How to cancel — you may cancel your subscription at any time through your account settings or by contacting us at contact@genetr.com.
- Effect of cancellation — cancellation takes effect at the end of the current billing cycle. You will retain access to the service until the end of the period you have already paid for.
- No partial refunds — unless otherwise stated in our Refund Policy or required by applicable law, fees already paid are non-refundable.
10. Refunds
Refund rules are set out in our Refund Policy. If you have a separate enterprise agreement, Order Form, or SOW, that document may specify different refund or termination fees.
11. Chargebacks and Payment Disputes
If you initiate a chargeback or payment reversal without first contacting us to resolve the issue, we may suspend or terminate access to the Subscription while the dispute is investigated.
We may provide transaction and usage records to the payment processor to contest fraudulent or improper chargebacks.
12. Suspension and Termination by Genetr
We may suspend or terminate your subscription if:
- you breach these Subscription Terms or our Acceptable Use Policy;
- your payment is overdue for more than 14 days;
- we are required to do so by law, regulation, or court order;
- we detect suspected fraud or misuse;
- we reasonably believe your use poses a security risk or may cause harm to other users or our infrastructure;
- continued service creates legal or security risk.
Where practicable, we will provide notice before suspension or termination, except where immediate action is necessary to prevent harm or comply with law.
13. Data and Termination
Upon subscription termination (by you or us):
- Your data — you may request an export of your data for a period of 30 days following the end of your subscription. After this period, your data may be deleted in accordance with our retention practices.
- Enterprise plans — data export options (if any) should be defined in the Order Form/SOW.
- Data processing — if the service involves processing of personal data on your behalf, the applicable data processing terms will be set out in a separate Data Processing Agreement or addendum.
14. Service Availability and Modifications
- Availability — we aim to maintain reasonable service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where practicable.
- Modifications — we may update, modify, or discontinue features of a service from time to time. Where a change materially reduces the functionality of a service you have paid for, we will provide reasonable notice and, where appropriate, offer alternatives or a pro-rata refund.
15. Intellectual Property
- Our IP — Genetr retains all intellectual property rights in the services, software, and underlying technology. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the service for its intended purpose during the subscription term.
- Your content — you retain ownership of any data, content, or materials that you upload to or create using the service. You grant Genetr a limited licence to host, process, and display your content solely to provide the service to you.
- Feedback — if you provide suggestions or feedback about the service, we may use that feedback without obligation to you.
16. Disclaimers and Limitation of Liability
The disclaimers and limitation of liability set out in our Terms of Use apply to subscriptions and services. Where a separate service agreement exists, its liability provisions will apply instead.
17. Governing Law
These Subscription Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong, unless a separate agreement specifies otherwise.
18. Changes to These Terms
We may update these Subscription Terms from time to time. Material changes will be communicated to active subscribers with at least 30 days’ notice. Continued use of the service after the effective date constitutes acceptance of the updated terms.
